Marc Bolana Why the Netherlands as a base for your international operations?

The most important factors, which make The Netherlands an attractive base for international operations and why already thousands large, medium and small sized companies have an intermediate company based in The Netherlands can be summarised as follows:

First of all there is the unique concept of the "participation exemption". All benefits of a Dutch (holding) company as a result of a participation of at least 5% or more in another company are exempt(!!!) from corporate income tax. This applies to dividends received or capital gains realised.

There is no withholding tax on royalty payments, licence fees or interest payments. Netherlands-source dividends are in principle subject to a 15% withholding tax. This rate can easily be reduced by an applicable double taxation treaty. Note that the Netherlands has the the largest amount of international tax treaties worldwide!

Only one director is required for a Netherlands company, and the director needs to be a Netherlands resident.

Losses may be carried back for a maximum of three years. Furthermore, losses can be carried forward indefinitely.

The Netherlands most certainly is an attractive base to set up 'financial companies" like holding, investment, royalty, finance and real property companies. Finance activities can be conducted under a favourable regime.
