The Seller shall deliver the goods under delivery conditions of: CIF Terms
Loading Port: Loading port shall be Douala, Cameroon
Discharge port: (China)
Delivery Time: 10 days after the date of signature of the contract and receipt of DLC to the sellers bankers
QUALITY OF GOODS
The product object of this contract is Copper Cathodes (Electrolytic Copper Cathodes Grade A)
Non-LME standards at a purity of 99.97% Min. and 99.99% Max.
The goods shall conform to specification in Appendix No.2 hereto.
The quality of the goods delivered under the present contract is indicated by the SGS inspection certificate issued at the port of loading.
If the inspection result issued by SGS/CIQ at unloading port is different with the inspection result issued by SGS at loading port, the Seller shall authorize the following discount after mutual consultations on two different Analysis of SGS:
99.97%-99.99% 0% discount
99,96 % 2.5% discount
99,95 % 5.0% discount
Less than 99.95% is rejected
PRICE AND TOTAL AMOUNT OF THE CONTRACT
The Buyer shall pay the Seller in United States Dollars “USD”
The Price stated herein this contract is to be valid and set for the 300 Metric Tons.
The contract price of copper cathodes 99.99% -99.97% agreed upon is a fix amount of (remains same) US$ LME less - 5% per MT defined by the LME price on the previous day of contract signing by the first party who sign the contract.
The price of the goods includes all costs incurred by the Seller up to and including delivery basis CIF except where the contract specifically provides for a cost to be borne by the Buyer
PAYMENT TERMS AND CONDITIONS
Within Five (5) banking days after the original contract is signed Buyer/Consignee shall issue a non operative documentary letter of Credit to Seller’s bank by an 100% amount Irrevocable, Transferable, Documentary Letter of Credit DLC as guarantee, LC payable at sight against documents for the shipments value.
After seller’s bank receiving the non-operative DL/C from buyer’s bank within Five (5) banking days, the seller’s bank shall issue 2% PB to buyer’s bank. The text of PB shall confirm by buyer and buyer’s bank and DL/C text must be confirmed of seller’s bank and seller. The Seller’s PB activates automatically the Buyer’s DLC.
The seller delivers the goods in accordance with contract requirement spelling and typographical errors and differences of such nature between Bank issued and Beneficiary issued documents shall not be deemed discrepancies provided that the intent of the writer is clear from the context and in such case only UCP600 regulations shall apply at any time.
The Irrevocable Transferable Confirmed DLC is valid for 90 days. The draft of this payment instrument will be part of the sale contract and shall be present to Seller for acceptance before being issued.
PERFORMANCE BOND (PB)
Seller issue 2% PB on receipt of any of the Buyer’s non-operative DLC value for quantity mentioned. Draft of the PB will be part of the contract.
The Performance Bond of 2% of the amount of the DLC will activate the Irrevocable, confirmed and transferable DLC. The PB is valid for the time of validity of the DLC and shall be returned to the Seller after clearance release of the DLC.
In case of Seller’s non delivery of the goods, this undertake payment in the event of the Buyer certifying that the Seller failed to perform in accordance with the terms of this sale contract.
